Morgan Hunt are currently working with a well-established, high profile Disability Charity in their search for a temporary Head of Governance to manage the day-to-day responsibility for governance and managing governance frameworks across the organisation.

You will be reporting to the CEO, working to provide a high-quality Governance and Business Support service to stakeholders (defined as the Chair, CEO, Committees, Trustees and Directors) ensuring effective governance arrangements are in place. You will ensure that the organisation complies with all legal, regulatory and statutory requirements, and maintain compliance with all matters of corporate governance.

This role would be perfect for an experienced Senior Governance/Company Secretary professional, ideally with experience in the Charity Sector. You will have strong stakeholder management, communication and organisation skills with the ability to develop and implement governance frameworks and services in a large organisation. You will have experience developing strategies to ensure governance best-practice and supporting Board effectiveness.

Location: Remote Working (ad hoc office attendance)

Day Rate: £260.00 - £300.00 (PAYE)

Job Type: Temporary (6-9 months, potential extension)

Hours: Full-time (35 hours per week)

Start Date: ASAP

Key Responsibilities

  • Ensure an effective governance service is provided across the organisation, advising stakeholders on Charity law, Charity Commission guidance, governance policies, processes and best practice
  • Build relationships with all Trustees, non-Trustee committee members and senior staff to understand requirements, and enable effective governance support
  • Oversee governance compliance and ensures that governance complies with relevant legislation and Charity Commission guidance
  • Oversee development and management of systems and processes that improve governance and compliance across the organisation
  • Fully servicing governance cycle of Board and its Committees, including
    • Taking and producing accurate minutes
    • Managing action point completion
    • Managing agendas, documentation and reviewing plans
  • Researches, collates and analyses information and data, taking responsibility for preparing reports and briefing papers for presentation at all levels
  • Supporting the Board to carry out appropriate succession planning, including appointment of new Trustees and Committee members and ensuring that they receive appropriate induction and ongoing training as required.
  • Acting as Company Secretary, responsible for the governance of group structure including all Companies House filings as well as relationships with charity regulators
  • Line-managing the Governance Manager and Senior Executive Assistant.

Personal Specification

  • Experience working in a Senior Governance/Company Secretary position within the Public or (ideally) Charity Sector
  • Demonstrable experience of effective stakeholder engagement, influencing and communications at all levels of an organisation.
  • Experience of developing and implementing governance frameworks and executive support services in a large organisation
  • Demonstrable experience of working with Boards, to record and maintain accurate records of meetings and decisions
  • Proven experience and demonstrable working knowledge of charity law and regulation, and experience of ensuring compliance with legal and regulatory guidance
  • Knowledge of all aspects of office procedures and confident in the use of MS office applications and other IT systems
  • Strong planning and organisation skills to help analyse complex demand and to make recommendations
  • Proven ability to collate and analyse complex data, and facilitate decision making that delivers innovative business solutions to achieve strategic objectives
