Job description

Morgan Hunt are currently working with a Professional Membership Body in their search for a permanent Governance Manager to support the Head of Governance by ensuring governance activity is delivered effectively.

You will be responsible for managing the governance team, while ensuring effective support is provided to the Trustee Board and Council. This will include ensuring agendas, minutes, papers and high-quality material is delivered on time, as well as ensuring subsequent action points are delivered.

You will be responsible for managing the annual election and induction of members to the Trustee Board and Council, as well as managing the annual ballot of members (while ensuring compliance with relevant regulations). You will ensure the Governance Handbook is updated and remains relevant, and manage the support of the Annual General Meeting.

The successful applicant will be an experienced Governance Manager (ideally with experience in a Professional Institution, Membership Body or Charity). You will have experience managing a team of direct reports, with knowledge of governance and compliance in the Charity Sector.

You will have significant experience of communication, administration and committee/board management, with strong understanding of committee protocol and procedures. You will have excellent communication skills, with the ability to take minutes and form effective working relationships with Senior Stakeholders.

Location: Hybrid (2-3 days per week in the London Office)

Annual Salary: £50,000

Job Type: Permanent

Hours: Full-Time (36.25 hour week)

Key Responsibilities

  • Ensure support to Trustee Board, Council and NOMCO (agendas, minutes, papers) is effectively delivered by the Governance Office.
  • Work with Directors to generate concise, high-quality material for Trustee, Council and NOMCO meetings to facilitate effective discussion and decision making
  • Continuously monitor developments in charity good governance practice to ensure compliance with requirements of charity regulators
  • Update the Governance Handbook to ensure it remains relevant and a useful aid to trustees and Council members
  • Manage the annual elections of members to the Trustee Board, Council and NOMCO, as well as their comprehensive induction programmes
  • Manage the annual ballot of members, working with Civica Election Services to ensure the vote is conducted in compliance with the By-laws
  • Manage the provision of secretarial support by the Governance Executive in support of the Nomination Committee, including the confidential annual Presidential selection process to enable formal election by Council
  • Manage the provision of secretarial support by the Governance Executive in support of the Annual General Meeting to facilitate an effective meeting.
  • Line management (including workload and resource management) to the Governance Executive and the Governance Administrator, including conducting regular performance and development reviews
  • Authorise member expenses claims to ensure timely repayment of costs incurred on behalf of relevant activity

Person Specification

  • Experienced Governance Professional with strong Secretariat and Board management experience
  • Significant experience of communication, administration and committee processes, with a high level of understanding of committee protocol and procedures
  • Knowledge of requirements to comply with charity regulation
  • Significant experience of managing a team
  • Previous experience with a similar professional institution, voluntary sector or membership body is desirable
  • Excellent communication skills (both written and verbal) alongside good presentation skills
  • Excellent minute taking skills, and attention to detail
  • The ability to develop good working relationships, particularly with trustees and member volunteers
  • Able to handle heavy workload and deliver outputs/activities on time
