
Governance Officer / Board Secretary
We are looking for a highly organised, governance-focused Board Secretary to join our client's Chief Executive Office on a temporary basis.
This is an excellent opportunity for someone with experience supporting Boards, Committees or governance functions who enjoys coordinating complex activity, working with senior stakeholders and delivering high-quality governance support.
This is a new role and you will have the opportunity to help shape how governance support is delivered and identify ways to improve processes and practices across the organisation.
Main duties of the role:
Board and Committee Support
You'll play a key role in supporting the smooth running of our Board and Committee meetings, coordinating agendas, papers, minutes, and action tracking from start to finish. Working closely with the Chair, Trustees, Committee Chairs and senior leaders, you'll ensure meetings are well planned, effectively managed, and underpinned by excellent governance and planning.
Governance Administration
You'll help maintain high standards of governance by keeping key records, registers, policies and documentation accurate and up to date. You'll provide governance support and guidance to senior stakeholders, coordinate trustee recruitment and on boarding, and work with external auditors to ensure information and documentation are provided efficiently and on time.
General Responsibilities
You will be able to build positive and collaborative working relationships with colleagues and stakeholders across the organisation and maintain confidentiality and handle sensitive information with discretion and professionalism. Comply with organisational policies and procedures and undertake other duties that are reasonably required and consistent with the level and purpose of the role.
Person specification
- Significant experience supporting Boards, Committees, or governance functions, ideally within the charity or not-for-profit sector.
- Ability to produce high quality minutes, governance calendars and action logs.
- Strong understanding of good governance practice and experience supporting Board and Committee governance processes.
- Experience maintaining governance records, registers and key governance documentation.
- Experience identifying and implementing improvements to governance processes or ways of working.
- Excellent organisational and coordination skills, with the ability to manage multiple priorities and deadlines.
- Exceptional attention to detail and accuracy.
- Strong stakeholder management skills and confidence working with senior leaders, trustees, and external stakeholders.
- Ability to handle confidential and sensitive information with discretion.
